Tóm tắt

Mục tiêu của nghiên cứu là xác định ảnh hưởng của đặc trưng hội đồng quản trị đến hiệu quả tài chính tại các công ty cổ phần niêm yết trên thị trường chứng khoán Việt Nam. Nghiên cứu ứng dụng phương pháp hồi quy bảng với sự hỗ trợ của phần mềm Stata 14. Mẫu nghiên cứu được sử dụng gồm 654 công ty cổ phần niêm yết trên thị trường chứng khoán Việt Nam trong giai đoạn 2016–2018. Nghiên cứu đã chứng minh được ảnh hưởng của đặc trưng hội đồng quản trị đến hiệu quả tài chính của các công ty cổ phần niêm yết trên thị trường chứng khoán Việt Nam, trong đó: Sự kiêm nhiệm của hội đồng quản trị và quy mô hội đồng quản trị có ảnh hưởng cùng chiều đến hiệu quả tài chính (ROA) tại mức ý nghĩa 5%; số lượng các cuộc họp của hội đồng quản trị và số lượng các thành viên độc lập trong hội đồng quản trị có ảnh hưởng đáng kể và ngược chiều đến hiệu quả tài chính; tuy nhiên, sự đa dạng về giới tính của hội đồng quản trị không có ý nghĩa thống kê tại mức ý nghĩa 5%
